Rules on the naming of companies in Iran

  1. Naming companies in Iran has its own procedures which includes following related rules and regulations, obtaining necessary permission, and presenting incorporation papers.
  2. The applicant for naming a company shall be one of the members or a shareholder or their lawyer (shall present lawyership notice).
  3. The same or similar names cannot be applied again which will be determined by checking the data base of Non-commercial Firms and Companies Incorporation Bureau in Tehran.
  4. Foreign names and expressions cannot exist in the name of the company and their Persian equivalences shall be replaced. If there isn`t any Persian equivalence, the applicant should look up Persian dictionaries and find proper names or equivalences.
  5. Those foreign words for which, The Persian Language Association did not find any proper equivalence or words which are unnecessary to be translated are exempted from the above mentioned rule (No 4).
  6. Using famous names which may delude the public is prohibited.
  7. Names which are against religious and legal norms of Iran cannot be chosen and registered.
  8. Words such as construction, engineering, counseling, legal, commercial … which add an explanation to the original name will not be included in the name of the company.
  9. Adding words such as association, foundation, bank, customs, art firm, health center … is possible only after getting necessary permissions from authorized organizations.
  10. Including words such as Iran, country, national, nation … in the suggested names is prohibited due to possible misuses.
  11. If a name of a place or geographical location is used in the name of the company, related documents proving the existence of such places and locations are necessary to be presented.
  12. Suggesting names which are dedicated to national or governmental organizations will not be accepted.
  13. It is possible to use full foreign names or a part of foreign name along with a Persian name (as a suffix) in Co-operatives. In such cases, the documents of foreign company and official translation of its papers shall be presented as well.
  14. It is possible to dedicate the same name with the same language and Persian dictation to the branches and offices of foreign companies.
  15. Co-operatives and non-commercial firms are exempted from paying the expenses of name determination.
  16. Approved names cannot be transferred to others.
  17. In the incorporation of Co-operatives, it is mandatory to apply for a name from the Ministry of Cooperation by a single application letter.

In determining the names of General Partnership Company, Proportional Liability Partnership Company, Limited Partnership Company ,and Joint Stock partnership Company, articles 117, 141, 162, 184 of Iran Commercial Code shall be taken into consideration.
